Terms of Service

These Terms of Service ("Terms") govern your use of the Entity Lane website, client portal, and services operated by Entity Lane LLC ("Entity Lane," "we," "us," or "our"). By creating an account or using our services, you agree to these Terms.

1. Services

Entity Lane provides LLC formation filing, registered agent services, foreign qualification filing, compliance monitoring, annual report filing, document forwarding, and related business services. We act as your authorized representative to file documents with state agencies on your behalf.

2. Not a Law Firm

Entity Lane is not a law firm and does not provide legal advice. Our services are document preparation and filing services. We provide information about business formation requirements, but this information is not legal advice. If you need legal advice about your specific situation, consult a licensed attorney.

3. Account Responsibilities

• You must be at least 18 years old to use our services.
• You are responsible for maintaining the security of your account credentials.
• You must provide accurate and complete information for all filings. We file documents based on the information you provide.
• You are responsible for notifying us of changes to your entity information (address, members, registered agent, etc.).

4. Registered Agent Service

• When you appoint Entity Lane as your registered agent, we accept service of process and official correspondence on behalf of your entity at the registered address.
• We forward documents to you electronically within one business day of receipt.
• Our registered agent service remains active as long as your subscription is current. If your subscription lapses, we will attempt to notify you before resigning as your agent.
• You are responsible for appointing a replacement registered agent if you cancel our service.

5. Pricing and Payments

• Prices for our services are listed on our Pricing page. State filing fees are passed through at cost with no markup.
• One-time service fees (formation, EIN, foreign qualification) are charged at the time of order.
• Recurring services (registered agent, compliance monitoring) are billed annually.
• No bait-and-switch: Your renewal price will be the same as your initial price. We do not increase prices at renewal without advance notice.
• Refunds for service fees are available within 30 days of purchase if filing has not yet been submitted. State filing fees are non-refundable once submitted.

6. Processing Times

Processing times depend on state agency turnaround. We submit filings within one business day of receiving complete information. Standard processing is typically 3-7 business days. Expedited processing is available in most states for an additional fee. We are not responsible for delays caused by state agencies.

7. Document Storage

We store your formation documents, correspondence, and compliance records in your client portal. Documents are retained for the life of your entity plus seven years after account closure. You can download your documents at any time.

8. Cancellation

• You may cancel your account at any time through the client portal or by contacting us.
• If you cancel registered agent service, you must appoint a replacement before cancellation takes effect.
• Unused portions of annual subscriptions are refunded on a pro-rata basis.

9. Limitation of Liability

Entity Lane’s liability for any claim arising from our services is limited to the amount you paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.

10. Intellectual Property

The Entity Lane name, logo, website content, and portal are our property. You may not copy, reproduce, or distribute our content without permission. Your business documents and data remain your property.

11. Governing Law

These Terms are governed by the laws of the State of New Mexico. Any disputes will be resolved in the courts of New Mexico.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the client portal. Continued use of our services after changes constitutes acceptance.
